Proposed bylaws amendments

In accordance with our bylaws, notice is hereby given that the Board of Directors of Tammany Together, Inc. proposes the two bylaws amendments listed below for a vote by the membership of the Corporation. The Board recommends approval of these amendments for the reasons given below. No reply is needed to this email. The vote will be taken at our General Membership Meeting on January 21, 2008 (location to be announced).
 
Article III, Section 2.B.1, Umbrella Organization Membership Eligibility
Present wording: "Non-profit organizations or organizations that represent a number of other groups, and whose goals are consistent with those of the Corporation may apply to the Board of Directors for Umbrella Organization Membership."
 
Proposed wording (changes underlined): "Non-profit organizations, governmental entities, or organizations that represent a number of other groups, and whose goals are consistent with those of the Corporation may apply to the Board of Directors for Umbrella Organization Membership."
 
Explanation: The proposed change would allow governmental entities to join Tammany Together as Umbrella members with one vote. It is felt that this would encourage wider participation and dialog in the organization while maintaining the proper balance of voting rights.
 
Article IV, Section 11, Board of Directors Quorum
Present wording: "Eight directors shall constitute a quorum for the transaction of business at any meeting of the Board of Directors."
 
Proposed wording (changes underlined): "A majority of the directors then serving shall constitute a quorum for the transaction of business at any meeting of the Board of Directors."
 
Explanation: The current wording requires eight of the fifteen directors called for in the bylaws (i.e. a simple majority) to be present to constitute a quorum at a meeting of the Board of Directors. The proposed wording would maintain the simple majority requirement while covering situations when fewer than fifteen members are serving on the Board, as is presently the case with the interim Board or as may happen due to future vacancies.
