In accordance with our by-laws, notice is hereby given that the Board of Directors of Tammany Together, Inc. proposes the two by-laws amendments listed below for a vote by the membership of the Corporation. The Board recommends approval of these amendments for the reasons given below. No reply is needed to this email. The vote will be taken at our Annual General Membership Meeting, now scheduled for April 21, 2008.
Amendment 1: Article VI, Section 2, Paragraph C, and other sections where the term "audit" is used
Present wording: "AUDIT COMMITTEE – shall audit the financial records of the Corporation annually and prior to any new Treasurer assuming office. The Audit Committee shall consist of three members of the Corporation, none of whom may be a sitting board member. The chair of the Audit Committee will present the results of the audit to the General Membership at the Annual Meeting."
Proposed wording: "FINANCIAL REVIEW COMMITTEE – shall perform a review of the financial records of the Corporation annually and prior to any new Treasurer assuming office. The Financial Review Committee shall consist of three members of the Corporation, none of whom may be a sitting board member. The chair of the Financial Review Committee will present the results of the financial review to the General Membership at the Annual Meeting."
Also: Change the term "audit" to "financial review" and the term "Audit Committee" to "Financial Review Committee" wherever else these terms appear in the by-laws.
Explanation: We have received a professional opinion that the use of the term "audit" could be interpreted to mean that financial reviews of the Corporation must be conducted by a CPA or professional accounting firm. As this was not the intent of the original wording, we are suggesting these changes to more closely reflect the original intent of the by-laws.
Amendment 2: Article VIII, Section 2
Present wording (in part): "BUDGET PROCEDURES. The Board of Directors shall develop a proposed budget for each fiscal year. The Treasurer shall present the proposed budget to the membership at the Annual Meeting for a vote of approval…"
Proposed wording (remainder unchanged): "BUDGET PROCEDURES. The Board of Directors shall develop a proposed budget for each fiscal year. The Treasurer shall present the proposed budget to the membership at the first General Membership Meeting following the Annual Meeting for a vote of approval…"
Also: Delete "Approve the Annual Budget" from the list of business items to be conducted at the Annual Meeting in Article VII, Section 2, "Annual Meeting".
Explanation: Membership dues renewals are payable on April 1st of each year. Given the voluntary nature and the timing of dues renewals, it is difficult to accurately forecast the coming fiscal year’s revenue in time to prepare a budget for the Annual Meeting, which must be held in April. Also, a new Board of Directors is elected at the April Annual Meeting, and it is felt that the incoming Board, not the outgoing Board, should prepare the budget within which the new Board will operate. This amendment would allow additional time for an accurate budget to be prepared, and for the budget to be prepared by the incoming, rather than the outgoing, Board.
